By accessing or using Actium ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Actium is an AI-powered productivity platform that helps users capture, plan, and execute their goals through AI-assisted task management, habit tracking, expert coaching, and collaborative planning tools. The Service includes the website, web application, and mobile applications.

3. Accounts

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the security of your account credentials.
You must notify us immediately of any unauthorized use of your account.
You may not use another person's account without their permission.

4. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any applicable laws.
Attempt to gain unauthorized access to any part of the Service or its systems.

5. User Content

You retain ownership of all content you create within Actium, including tasks, projects, habits, notes, and conversations. By using the Service, you grant us a limited license to process your content as necessary to provide and improve the Service. We do not claim ownership of your content and will not use it for purposes unrelated to the Service.

6. AI Features

Actium uses artificial intelligence to assist with task planning, organization, and coaching. AI-generated suggestions are provided as recommendations only and should not be relied upon as professional advice (medical, legal, financial, or otherwise). All AI-generated plans require your explicit approval before they enter your task system.

7. Subscriptions and Payments

Actium offers free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) as selected at the time of purchase.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
We reserve the right to change pricing with 30 days' notice. Price changes do not affect the current billing period.
Refunds are handled on a case-by-case basis. Contact us if you believe you are owed a refund.

8. Expert Marketplace

The Actium Expert Marketplace connects users with AI-powered and human coaching services. Human experts are independent professionals, not Actium employees. While we vet marketplace participants, we do not guarantee the quality or accuracy of advice provided by third-party experts. Disputes between users and experts should be reported to us for mediation.

9. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Actium and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Actium shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
